Thomas specialises in corporate and commercial law, mainly in the areas of mergers and acquisitions, capital raising, company floats, corporate restructures, corporate governance, foreign investment and international business advisory (in particular, Korea, China, Malaysia and the US).
Thomas has acted on numerous M&A transactions including devising and managing due diligence in public company takeovers and mergers by scheme of arrangement and private company trade sales.
Most recently Thomas has specialised in the aged care and retirement living sector providing legal advice on all aspects of the sale, purchase, redevelopment and operation of aged care and retirement living assets.
Thomas' work has included:
- Acting for the Regis Group in relation to the disposition of various retirement village assets to the RVG Group;
- Acting for the Regis Group in relation to its merger with Retirement Care Australia in a deal worth approximately $600 million;
- Acting for Artists Technologies Holdings Pty Ltd (AT2 Global) in relation to its various cross-border acquisitions/JVs;
- Acting for one of the major stakeholder groups in relation to the proposed relocation of the Melbourne Wholesale Markets to Epping;
- Acting for Tawana Resources NL on its secondary listing on the Johannesburg Stock Exchange;
- Attending to the disposition of various waste management assets to a wholly owned subsidiary of Austral Waste Management Group Limited;
- Acting for G R Finance Limited on its capital raising (up to $50 million) through the issue of secured and unsecured notes;
- Acting for THQ Inc., (a leading global developer and publisher of video games) on its acquisition of Blue Tongue Entertainment Limited;
- Acting for Apotex International Inc., attending to all aspects of its acquisition of Mayne Group’s generic pharmaceutical business;
- Providing advice on various aspects of the sale of TXU's Australian business to Singapore Power for a consideration of approximately $5.1 billion;
- Proving advice to KT Corp (formerly Korea Telecom) regarding its strategies in the Asia Pacific region including potential acquisitions of telecommunications carriers in Australasia;
- Advising on, and preparing the product disclosure statement and underlying transaction documents in respect of a managed investment scheme known as the "Endeavour Old Woolstore Apartment Hotel Scheme";
- Assisting with the disposition of numerous radiology practices to I-Med Limited, the holding company of a major network of radiology practices and the on-going acquisitions of other radiology practices by the holding company; andActing for Dongwha Enterprises Co Limited (a Korean listed company) on its $80 Million acquisition of a timber mill in regional Victoria.
