Nicole Maxwell is a Partner of HWL Ebsworth with more than 12 years experience. She has acted on numerous major projects for both private corporations and government.

Nicole has considerable industry experience covering:

  • Negotiating, drafting and developing precedent documents including leases, agreements for lease, licences, clause-banks, national leasing protocols, fall-back positions and statutory compliance forms;
  • Specialist leasing experience in telecommunications;
  • Acting on real property due diligences including freehold and leasehold transfers, assignments and consent issues;
  • Negotiating and drafting major agreements for lease and leases for supermarket sites; and
  • The acquisition and sale of commercial, industrial and residential property.

Projects in which Nicole has been involved with for national clients include:

  • Telecommunications roll outs for three major carriers and an acquisition by one carrier of another carrier and associated infrastructure transfers;
  • A distribution centre roll out for a major supermarket chain;
  • A logistics acquisition (by way of a sharehold and leasehold acquisition) for a multinational company;
  • Retail leasing for a number of large institutional landlords;
  • Advising and negotiating acquisition contracts for a national property developer and preparing precedent off‑the‑plan contracts of sale and vendor’s statements for that developer;
  • The acquisition and sale of commercial, industrial and residential property;
  • Due diligence and contract negotiations on Melbourne CBD buildings including advising on agreements for lease, leases, licences, co-owner’s agreements, s173 agreements, project management agreements, development agreements, restrictive covenants, title and land use issues; and
  • Acting as the lead lawyer for a number of government clients including the negotiation and finalisation of lease documents, developing “national leasing protocols”, fall-back positions and developing pro forma documents.
