Profile

Virginia Waterhouse is a Partner of HWL Ebsworth and is a key member of the National Corporate / M&A Group.  Virginia heads up the Corporate / M&A Group in Brisbane where she is based.  She specialises in mergers & acquisitions, corporate reconstructions and capital market transactions. 

Virginia also routinely advises clients on corporate governance issues, including ASX Listing Rules and Corporations Act requirements.  She has extensive experience in fields encompassing infrastructure, telecommunications and energy & resources. 

Virginia has actively advised in each of these key areas of capital markets:

• Capital management activities such as buy-backs, capital reductions and share sale facilities.
• Advising issuers and lead managers in large public offerings and placements.
• Capital reconstructions, including capital reductions and share buy-backs.

• Every Day Mine Services Limited: IPO and ASX Listing of mining services business;
• Augur Resources Limited: IPO and ASX Listing of junior exploration company;
• Ark Mines Limited: IPO and ASX Listing of junior exploration company;
• Augur Resources Limited: de-merger of certain Australian mining assets and rights issue;
• Sunshine Gas Limited: de-merger of UK oil / gas assets;
• Every Day Mine Services Limited: institutional placement.

Takeovers

• Acting for Target in friendly bid by Great Southern Plantations Limited;
• Hyro Limited: takeover by scheme of arrangement of Synery Software Holdings Limited;
• Flight Centre: in its friendly bid for TQ3 Corporate Travel Management;

Infrastructure

• Aviva Corporation Limited: for the development of a gas powered peaking plant in Western Australia;
• Participants in the construction of power plant developments in Australia, including the drafting and reviewing of EPC contracts, consent deeds and consultant appointments;
• Advising Tasmanian Government on the acquisition of a fixed radio network from Ericsson;
• Advising acquirers of AES Corporations Australian energy portfolio (2000).
